GULPOSH LUXE – WHOLESALE TERMS OF SERVICE

Welcome to Gulposh Luxe (accessible via gulposhluxe.com). This website is operated by Gulposh Luxe. Throughout the site, the terms “we”, “us” and “our” refer to Gulposh Luxe. We offer this website, including all information, tools, and services available from this site to you, the wholesale buyer/merchant, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

  • By applying for a wholesale account and/or purchasing wholesale goods from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink.

 

SECTION 1 – WHOLESALE ACCOUNT ELIGIBILITY

  • By placing a wholesale order, you warrant that you are a valid retail business, online boutique, or commercial entity, and that you possess a valid business registration or resale tax certificate in your jurisdiction. We reserve the right to approve or reject wholesale account applications or terminate existing accounts at our sole discretion without prior notice.

SECTION 2 – PRICE CONFIDENTIALITY & QUOTATIONS

  • Confidentiality: All wholesale pricing, product catalog sheets, production cost estimates, and bulk discounts provided on gulposhluxe.com or via direct communication are strictly confidential. Sharing our wholesale pricing structures with third parties or making them public is a strict violation of these Terms.
  • Price Changes: Prices for our products are subject to change without notice. We shall not be liable to you or to any third-party for any modification, price change, or suspension of production.

SECTION 3 – MINIMUM ORDER QUANTITIES (MOQ)

  • All wholesale orders are subject to a Minimum Order Quantity (MOQ) as specified on our product pages or custom invoices.
  • Orders that do not meet our minimum item count per style (or minimum cart value) will not be processed as wholesale orders.
  • Any exceptions to the standard MOQ must be approved in writing by a Gulposh Luxe account manager prior to checkout.

SECTION 4 – PRODUCTION, PAYMENT, & ORDER CANCELLATIONS

  • Payment Terms: Full payment is required at checkout before an order enters production or dispatch, unless an alternative payment schedule (e.g., 50% deposit, 50% balance before shipping) has been explicitly agreed upon in writing for custom production runs.
  • Cancellations: Because wholesale quantities initiate raw material procurement and manufacturing schedules, orders cannot be canceled or modified once payment has been processed and production has commenced.

SECTION 5 – PRODUCT CHARACTERISTICS & HARDWARE VARIATIONS

  • Many of our garments feature specialized materials, heavy-metal custom hardware (such as star rivets, dome snaps, or chain accents), and hand-finished treatments.
  • You acknowledge that minor natural variations in leather/synthetic grains, stitch alignments, or hardware oxidation are standard characteristics of bulk apparel manufacturing and do not constitute manufacturing defects.
  • Images on gulposhluxe.com are accurate representations, but minor variations due to monitor displays or production batches may occur.

SECTION 6 – SHIPPING, RISK OF LOSS, & CUSTOMS

  • Fulfillment Timeframes: Wholesale production and shipping lead times provided are estimates. While we strive to meet all deadlines, Gulposh Luxe is not liable for manufacturing or logistical delays caused by global shipping disruptions or customs clearance.
  • Risk of Loss: All wholesale shipments are sent Ex Works (EXW) or Free on Board (FOB) from our fulfillment centers. Risk of loss and title for the goods pass to you upon our delivery of the items to the carrier.
  • Duties and Taxes: The buyer is entirely responsible for all import duties, customs tariffs, local taxes, and clearance fees associated with international bulk shipments.

SECTION 7 – DEFECTS, DAMAGES, & RETURN POLICY

  • Unlike retail consumer stores, wholesale orders are final sale and non-returnable due to buyer's remorse or slow retail sales. Returns are only evaluated for genuine manufacturing defects.
  • Inspection Window: You must inspect all bulk merchandise within five (5) business days of delivery.
  • Reporting Claims: Any claims for short-shipments, transit damages, or manufacturing defects must be reported via email given below within this 5-day window, accompanied by clear photos of the damaged items and your original invoice number.
  • Remedies: If a defect claim is validated, Gulposh Luxe will, at its discretion, either issue a store credit, send replacement items, or refund the defective portion of the order.

SECTION 8 – TERRITORY & RESELLING RESTRICTIONS

  • Unless granted explicit written authorization, you are permitted to resell Gulposh Luxe items only through your approved retail storefront or dedicated, self-owned e-commerce domain.
  • Reselling Gulposh Luxe items on third-party marketplace platforms—including but not limited to Amazon, eBay, AliExpress, or Etsy—is strictly prohibited unless expressly allowed by a separate written agreement.

SECTION 9 – LIMITATION OF LIABILITY

In no case shall Gulposh Luxe, our directors, officers, employees, or manufacturers be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind—including, without limitation, lost profits, lost revenue, lost savings, or loss of data—arising from your purchase of bulk goods or your use of our service.

SECTION 10 – GOVERNING LAW

 These Terms of Service and any separate wholesale purchasing agreements whereby we provide you bulk merchandise shall be governed by and construed in accordance with the laws of [Your Country/State, e.g., Pakistan / Punjab].
